Terms of Service
Welcome to ToolShed. Please read these Terms of Service carefully before downloading, installing, or using the ToolShed desktop application, software, or associated web services (the Service). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not install, access, or use the Software.
01License and operational scope
Grant of license. Subject to compliance with these Terms and an active subscription or licensing agreement, ToolShed grants you a non-exclusive, non-transferable, revocable license to install and run the Software for your internal business operations.
Targeted availability. ToolShed is a closed-ecosystem platform intended exclusively for authorized business entities and licensed partners. Unauthorized distribution, reverse engineering, or reselling of the Software binary is strictly prohibited.
02Local architecture and data responsibility
Local-first data storage. ToolShed operates primarily on a local-first architecture. All records, databases, business files, customer profiles, and sensitive employee information created or processed within ToolShed reside exclusively on your local hardware or private infrastructure.
User ownership and care. You retain sole ownership and full responsibility for all data entered into or stored within the Software.
No centralized data management. ToolShed and its parent entity, Apexus Crest, do not manage, host, maintain, monitor, or back up your local database files. ToolShed has no access to your local data store and cannot retrieve lost or corrupted data under any circumstances.
03Employee information and regulatory compliance
Sole custody of sensitive HR and employee data. Any storage, processing, or management of employee personal identifiable information, including names, identity numbers, compensation details, contracts, or records, is carried out solely under your direction and risk.
Data protection laws. You represent and warrant that your collection and use of employee data within ToolShed complies with all applicable local and international data protection laws, including the Zimbabwe Data Protection Act (Chapter 11:12), GDPR, or equivalent regulations in your operating jurisdiction.
Exclusion of liability for breaches. ToolShed is not liable for data leaks, unauthorized local access, physical theft, malware infections, or internal unauthorized disclosures of employee or business information occurring on your device, network, or hardware.
04Cloud integration and Honeycomb sync
Optional cloud transmission. ToolShed may offer integration features that allow data transmission to external cloud nodes or Honeycomb OS.
Strong architecture recommendation. ToolShed explicitly recommends against uploading raw, unencrypted database files or sensitive employee databases to external cloud storage. The platform is optimized for sending structured operational records and transactional reports only.
User election. If you choose to sync, back up, or transmit full databases or raw sensitive records to external cloud nodes or Honeycomb OS, you do so at your own sole risk. ToolShed disclaims all liability for interception, unauthorized cloud access, or exposure resulting from user-initiated cloud uploads.
05Limitation of liability and warranties
As-is provision. The Software is provided on an as-is and as-available basis without warranties of any kind, whether express or implied, including fitness for a particular purpose or non-infringement.
Liability cap. To the maximum extent permitted by applicable law, ToolShed, its directors, officers, or parent entities are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, or goodwill, arising from your use of or inability to use the Software, unauthorized access to or alteration of your local data, loss or corruption of employee or business records, or hardware failure or system incompatibility.
06Termination
ToolShed reserves the right to suspend or terminate software licenses or portal access immediately without prior notice in the event of a breach of these Terms, unauthorized software distribution, or non-payment of subscription fees.
